Estoppel Affidavits, which may also be called Estoppel Certificates or Compliance Certificates, are sworn statements obtained by one party to a real estate transaction from the holder of an interest in the property for the purpose of preventing that person from asserting a claim or defense in a subsequent lawsuit. The concept is that if a party takes title to a real estate interest in reliance on the statements asserted in the Estoppel Affidavit, the person making the affidavit will be prevented (“estopped”) from asserting in court that those statements are untrue.
